End-User Platform Terms

These End-User Platform Terms (“Terms”) constitute a legally binding end‑user agreement between you (“you”) and Bridge Intelligence LLC d/b/a AssetIntel (“AssetIntel,” “we,” or “us”) governing your access to and use of AssetIntel’s software applications, such as inspectX™, SNBIX™, emergencyX™, manageX™, and any other AssetIntel software applications the use of which is expressly indicated to be governed by these Terms, and including (a) access via AssetIntel’s hosted software‑as‑a‑service offering(s) (“SaaS Service(s)”) and (b) installation and use of AssetIntel’s mobile application(s) (“Mobile App(s)” and, together with the SaaS Services, the “Platform”).
You may use the Platform only as an authorized user under an active subscription or similar agreement (“Customer Agreement”) between AssetIntel and the relevant AssetIntel customer, such as your employer or another entity that grants you access and is authorized to grant you access to the Platform (“Customer”). The Customer Agreement governs AssetIntel’s provision of the Platform to Customer. These Terms govern your use of the Platform. If there is a direct conflict between these Terms and the Customer Agreement, the Customer Agreement controls as between AssetIntel and Customer. Nothing herein grants you rights beyond those granted to Customer via the Customer Agreement.
BY CLICKING “I AGREE” OR A SIMILAR ACKNOWLEDGEMENT OF THESE TERMS OR LOGGING INTO OR OTHERWISE ACCESSING OR USING THE SAAS SERVICES OR INSTALLING OR USING THE MOBILE APPS, YOU (A) REPRESENT THAT YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THESE TERMS, (B) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, AND (C) AGREE THAT YOU SHALL BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT ANY TERM OR CONDITION SET FORTH IN THESE TERMS, DO NOT CLICK “I AGREE” OR ANY SIMILAR ACKNOWLEDGEMENT OF THESE TERMS AND DO NOT LOG INTO OR OTHERWISE ACCESS OR USE THE SAAS SERVICES OR INSTALL OR USE THE MOBILE APPS.
1. Eligibility; Authorization.
You represent that: (a) you are at least the age of majority in your jurisdiction; (b) you are an employee, individual independent contractor, or other personnel of Customer and have been expressly authorized by Customer, in accordance with any terms and conditions in the Customer Agreement governing such authorization, to use the Platform; and (c) your use of the Platform complies with the terms and conditions in the Customer Agreement governing use of the Platform. Your rights under these Terms are contingent upon Customer maintaining an active subscription and your continued authorization by Customer. AssetIntel may from time to time reasonably require verification of your identity and authorization.
2. Account Registration; Credentials; Security.
Access to any SaaS Service or use of any Mobile App may require a valid account and login credentials issued by AssetIntel or Customer’s authorized administrator. You must keep login credentials and authentication factors confidential and secure and not share, sell, assign, or transfer them. You must implement reasonable security practices (e.g., using strong passwords, enabling MFA, timely installing updates) with respect to your use of the Platform, including such security practices as may be reasonably required by AssetIntel from time to time to maintain the security and availability of the Platform and any data within the Platform. You are responsible for all activities with respect to the Platform under your account or via your device and must promptly notify AssetIntel and Customer of any actual or suspected compromise.
3. Limited Right to Access and Use the Platform.
a. SaaS Services (Hosted Access).
Subject to your compliance with these Terms and the Customer Agreement, AssetIntel grants you a limited, revocable, non‑exclusive, non‑transferable, non-sublicensable right to access and use the SaaS Services, solely (i) for Customer’s internal business purposes, (ii) within the scope of Customer’s active subscription, and (iii) within the scope of your authorization by Customer.
b. Mobile Apps (Installed Access).
Subject to your compliance with these Terms, the applicable app store terms, and the Customer Agreement, AssetIntel grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to download, install, and use the Mobile Apps on a device you own or control (or Customer owns or controls), solely (i) for Customer’s internal business purposes, (ii) within the scope of Customer’s active subscription, and (iii) within the scope of your authorization by Customer. To use any Mobile App, you must have a compatible mobile device. We do not warrant that any Mobile App will be compatible with your mobile device. You may use mobile data in connection with a Mobile App and may incur additional charges from your wireless provider for using a Mobile App. You agree that you are solely responsible for any applicable charges. We may update any Mobile App and may automatically electronically update the version of any Mobile App that you have installed on a mobile device. You consent to all automatic updates, and understand that these Terms will apply to all updated versions of a Mobile App. Any third-party open source software included in a Mobile App is subject to the applicable open source license.
c. Restrictions (Applicable to All Access Methods).
You shall not, and shall not permit any third party to: (a) copy, modify, translate, adapt, or create derivative works of the Platform; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code (except to the extent such restrictions are prohibited by applicable law); (c) bypass, interfere with, or defeat any security or usage controls; (d) access or use the Platform for competitive analysis or to build a competing product or service; (e) lease, sell, resell, rent, assign, sublicense, or otherwise transfer any rights; (f) use any scraping, data mining, robots, or similar data‑gathering or extraction methods; (g) remove or alter any proprietary notices; (h) exceed usage or feature limits communicated or configured by AssetIntel or Customer; (i) upload or transmit malware or other harmful code; (j) use the Platform in any manner that violates law, third‑party rights, or Customer’s applicable policies or that falsely states or otherwise misrepresents your identity or your affiliation with any person or entity; or (k) use the Platform for personal, consumer, or household purposes unless expressly authorized by the Customer Agreement.
d. Reservation of Rights.
Except for the limited rights expressly granted in this Section 3, no right, title, or interest in or to the Platform or its component software or any confidential information of AssetIntel or its licensors contained in or disclosed in connection with the Platform is granted or conveyed, whether by implication, estoppel, or otherwise.
4. User Content.
Users may upload, submit, or otherwise transmit data, information, documents, images, or other materials (“User Content”) through the Platform. User Content remains the property of the User and/or the Customer. By submitting User Content, Users grant AssetIntel a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use such User Content solely as necessary to operate, maintain, support, and improve the Platform and related services, and to comply with applicable law or the Customer Agreement. AssetIntel may create and use aggregated or de-identified data derived from User Content for purposes of analytics, benchmarking, service improvement, and research, provided that such data does not identify any User, Customer, or third party. AssetIntel will not otherwise disclose or exploit User Content except as expressly permitted under the Customer Agreement or with prior written consent. Users represent and warrant that they have all rights and permissions necessary to provide the User Content and to grant the rights described in this Section.
5. Intellectual Property; Feedback; Third‑Party Components.
The Platform is owned by AssetIntel and is protected by copyright, trademark and other intellectual property laws. Nothing in the Terms gives you a right to use AssetIntel’s name or any of the AssetIntel trademarks, logos, domain names, other distinctive brand features and other proprietary rights. All rights, title and interest in and to the Platform (excluding User Content) are and will remain the exclusive property of AssetIntel and its licensors. Any comments, suggestions and other feedback regarding the operation, usefulness and functionality of and potential improvements to or any other aspect of the Platform (collectively, “Feedback”) are entirely voluntary. We will be free to use, but not required to use, such Feedback as we see fit and without any obligation to you. Nothing in these Terms or in the dealings arising out of or related to these Terms will restrict in any way, or require us to compensate or credit you with respect to, our right to use, profit from, disclose, publish, keep secret, or otherwise exploit Feedback. The Platform may include third‑party and open‑source components subject to their own licenses. To the extent required, those licenses govern your use of such components. You will not disclose any AssetIntel confidential information to which you have access except to Customer or as authorized by AssetIntel, and will use it only as necessary to use the Platform as permitted.
6. Privacy.
You acknowledge and agree that through your use of the Platform you consent to the practices outlined in our Privacy Policy. By providing the personal information of others to us, you are representing and warranting that you have the authority to disclose such information to us and have obtained all necessary licenses, rights, consents and permissions and authorizations for us to use and disclose such information in accordance with our Privacy Policy.
7. Updates; Beta Features; Availability.
AssetIntel may, in its discretion, make updates, patches, or changes to the Platform. AssetIntel may offer beta, trial, or pre‑release features (“Beta Features”). Beta Features are provided “as is,” may be modified or discontinued at any time, and may be subject to additional terms. AssetIntel does not guarantee uninterrupted availability. Maintenance windows and outages may occur. Support to you and other end-users, if any, is as directed by the Customer Agreement; otherwise, AssetIntel may redirect you to the Customer’s authorized administrator.
8. Third‑Party Services.
The Platform may interoperate with third‑party products or services (“Third‑Party Services”). Your use of Third‑Party Services is governed by their terms and privacy policies, not by AssetIntel. AssetIntel is not responsible for Third‑Party Services except to the extent expressly agreed in the Customer Agreement.
9. Suspension and Termination.
AssetIntel may suspend or terminate your access or use of the Platform immediately if: (a) requested by Customer; (b) your authorization ends (e.g., you cease to be affiliated with Customer); (c) you breach these Terms; (d) AssetIntel detects or reasonably suspects security risks, fraud, or misuse; or (e) the Customer Agreement expires or terminates. Upon termination or suspension, you must cease all use of the Platform, delete the Mobile Apps from your devices, and, upon reasonable request, certify deletion of any AssetIntel confidential information. Sections that by their nature are intended to survive will continue in effect.
10. DISCLAIMERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW AND WITHOUT LIMITING OUR OBLIGATIONS TO CUSTOMER UNDER THE CUSTOMER AGREEMENT, THE PLATFORM IS PROVIDED TO YOU “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ASSETINTEL DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED.
11. LIMITATION OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW AND WITHOUT LIMITING OUR OBLIGATIONS TO CUSTOMER UNDER THE CUSTOMER AGREEMENT: IN NO EVENT WILL ASSETINTEL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OR CORRUPTION OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND ASSETINTEL’S TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
12. Indemnification.
You will defend, indemnify, and hold harmless AssetIntel and its affiliates, and their respective members, managers, directors, officers, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Platform in violation of these Terms, law, or third‑party rights; (b) your User Content; or (c) your breach of your representations, warranties, or obligations herein.
13. Export; Sanctions; Government Use.
You shall not use, export, re‑export, or transfer the Platform except as authorized by U.S. law, the laws of the jurisdiction in which the Platform was obtained, and any other applicable laws. You represent that you are not located in, under the control of, or a national or resident of any embargoed country or on any U.S. government denied‑party list. The Platform is “commercial computer software” and “commercial computer software documentation.” If you are a U.S. Government end user, use is subject to the restrictions in FAR 12.212 and DFARS 227.7202 or successor regulations.
14. Changes to These Terms.
AssetIntel may update these Terms from time to time. Material changes will be effective upon posting or as otherwise stated, and your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform.
15. Notices.
AssetIntel may provide notices via the Platform, email, or through the Customer’s authorized administrator. You consent to electronic communications. You should direct support and account‑related inquiries first to your Customer authorized administrator.
16. Assignment.
You may not assign or transfer these Terms or any rights or obligations hereunder. AssetIntel may assign or transfer these Terms without restriction. Any prohibited assignment is void.
17. Severability; Waiver.
If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. No waiver is effective unless in writing and signed by AssetIntel.
18. Governing Law; Venue; Dispute Resolution.
These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws rules. Any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association. The seat of arbitration will be in Florida, and the language will be English. Judgment on the award may be entered in any court of competent jurisdiction. You and AssetIntel consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any action not subject to arbitration, and waive any objection to such venue. Notwithstanding anything to the contrary in this Section 18, in the event that an interpretive matter relating to these Terms is not reasonably separable from an interpretive matter relating to the Customer Agreement, or a dispute arising out of or relating to these Terms is not reasonable separable from a dispute arising out of or relating to the Customer Agreement, then, to the extent the Customer Agreement has governing law, venue, or dispute resolution provisions that differ from those set forth in this Section 18, the relevant provisions of the Customer Agreement will take precedence over this Section 18. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ASSETINTEL WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
19. Entire Agreement; Order of Precedence.
These Terms are the entire agreement between you and AssetIntel regarding your end‑user access to and use of the Platform and supersede prior or contemporaneous understandings on that subject. They do not modify the Customer Agreement between AssetIntel and the Customer. In case of conflict, the Customer Agreement governs as between AssetIntel and Customer.
